Standard Terms for Carousell Plus
These standard terms and conditions (the “Terms”) for Carousell in respect of Carousell Plus subscriptions (“Carousell Plus Subscriptions”) shall govern your access and use of the additional features on the website, mobile applications and services (collectively, the “Carousell Plus Services”) provided by Carousell (as defined below). Such Carousell Plus Services may be provided via a subscription service on or via any of the Carousell mobile applications and/or website, including all its features and content and the services that Carousell makes available on or through them, and any and all updates, upgrades, supplements, enhancements and releases thereto as may be provided by us from time to time (the “Platforms”) or any of the methods as may be made available on the Platforms or as may be notified to you from time to time.
These Terms apply to all users of the Carousell Plus Services, including without limitation users who are sellers, buyers, merchants, or contributors of content, information and other materials. If you are entering into this agreement for and on behalf of a business entity, and the term “you” in these Terms shall mean the business entity on whose behalf you are using the Services, unless the context does not permit.
By using the Carousell Plus Services in any manner, including but not limited to visiting or browsing the Carousell Plus Services, you agree to observe and be bound by these Terms, the Carousell Terms of Service and the additional terms and conditions and policies referenced herein and/or available by hyperlink.
Carousell reserves the right to change or modify these Terms at any time. You will be deemed to have agreed to the amended Terms by your continued use of the Carousell Plus Services following the date on which the amended Terms are posted here. New features that we add to our Carousell Plus Services are subject to these Terms.
If a modification materially reduces your rights, we will notify you of such material changes (by, for example, a text message, email to the contact details associated with your account; or on our Platforms). If you do not agree to such modification, you may terminate your use of our Carousell Plus Services or request us to terminate the provision of our Carousell Plus Services to you. By continuing to use our Carousell Plus Services after the modification comes into effect, you are agreeing to be bound by the modified Terms.

Use of Carousell Plus Services
Subject to your compliance with these Terms, Carousell grants you a non-exclusive, non-transferable, non-assignable, worldwide, limited license to use our Carousell Plus Services that you have ordered and paid for solely for your own usage purposes only in accordance with these Terms for the Term (as defined below), unless earlier terminated. All rights not expressly granted to you in these Terms are reserved by Carousell and its licensors.

You shall use the Carousell Plus Services in accordance with these Terms and shall not:
violate any applicable laws, rules or regulations in connection with your access or use of the Carousell Plus Services;
use the Carousell Plus Services to create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Carousell Plus Services or any services, products or software offered by Carousell;
use the Carousell Plus Services to send automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters;
use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Carousell Plus Services, or any data or content found or accessed through the Carousell Plus Services;
use the Carousell Plus Services (including, without limitation, any related documentation, reports and/or the like) for any purposes other than in connection with your use of the Carousell Plus Services for its contemplated and intended purposes as set out herein ;
collect any information in respect of users of the Platforms without their consent;
commit any act to avoid paying any applicable fees and/or charges; and
authorise or encourage anyone to do any of the foregoing.

Content
You understand and agree that you are solely responsible for the Content (as defined in the Carousell Terms of Service) that you post or share on or through the Carousell Plus Services and any loss or damage which you sustain as a result of such Content is solely your responsibility. You retain ownership rights in the Content which you upload or share on the Carousell Plus Services but you grant Carousell a worldwide, fully-paid, royalty-free, sub-licensable, and transferable licence to host, store, use, display, reproduce, modify, adapt, edit, publish and distribute such Content (subject to Carousell’s Privacy Policy) for the purpose of operating, developing, providing, promoting, and improving the Carousell Plus Services and to research and develop new products and services.

You further acknowledge that Carousell does not pre-screen Content uploaded by users. Carousell shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available on the Carousell Plus Services. Without limiting the foregoing, Carousell shall have the right to remove Content, without liability or the obligation to offer a refund, in any of the following events:
if the Content is in breach of these Terms;
if Carousell has received a complaint or notice of infringement in respect of the Content; and/or
if the Content is otherwise objectionable.
Carousell may also block Content and the delivery of a communication (including, without limitation, feedback, postings, messages and/or chats) to or from the Carousell Plus Services as part of efforts to protect the Carousell Plus Services, our Users, and/or to otherwise enforce these Terms.

Subscription Plans

You may purchase any Carousell Plus Subscription where such purchases shall be in accordance with Carousell’s prevailing subscription rules and fees which are as set out below or referenced herein by hyperlink, and forms a part of these Terms. Carousell’s available Carousell Plus Plans are accessible here and the fees payable are accessible via the following links:
Please also take the time to read the additional terms and conditions, as set out in Clause 11 of the Carousell Terms of Service that will apply when you choose to purchase a Carousell Plus Subscription that includes Carousell Coins which may be used to pay for certain services. Carousell Coins included under all Carousell Plus Subscriptions are only valid for ninety (90) days from the date of their purchase (the “CC Validity Period”). The expiry date set out in your Account shall serve as conclusive evidence of the expiry date of your Carousell Coins. Thereafter, the Carousell Coins shall be deemed expired and will be cancelled immediately and without further notice. Carousell reserves the right to deal with the expired Carousell Coins in such manner as it deems fit in its absolute discretion and may at its discretion from time to time vary the CC Validity Period. You hereby agree that you will have no claim whatsoever against Carousell for any expired Carousell Coins. For the avoidance of doubt, any such expired Carousell Coins are non-refundable.

Ad-Free Experience
As part of the Carousell Plus Services, you will be entitled to an ad-free browsing experience when logged into your relevant Account on the Platform, including the removal of interstitial pages upon your login.
For the avoidance of doubt, this ad-free browsing experience does not remove, hide, and/or otherwise alter listings promoted by other Users as this is an integral feature of the Platform's marketplace. You acknowledge and agree that (i) you will continue to see such Content, which includes but is not limited to such listings promoted using "Bumps," "Spotlights," and "Shoutouts" by Users of the Platform; and (ii) such Content and promoted listings shall not be considered "ads" for the purposes of the aforementioned ad-free browsing experience.
Following a successful subscription for any Carousell Plus Services, Carousell will use commercially reasonable efforts to activate the ad-free browsing experience promptly and you acknowledge and agree that there may be a processing delay before this is fully activated.

Priority Support
As part of the Carousell Plus Services, you will be entitled to receive priority handling for support inquiries. This means that when you submit a support request to our Support Team via the Carousell Help Centre here, your inquiry will be placed in a priority queue for review and further handling by our Support Team.
Our Support Team will use commercially reasonable efforts to ensure that inquiries from the priority queue are addressed ahead of non-priority inquiries. For the avoidance of doubt, this service does not guarantee an immediate response, a specific resolution time, and/or a particular outcome.

Intellectual Property
You acknowledge and agree that the Carousell Plus Services and all copyright, patents, trademarks, trade secrets and other intellectual property rights associated therewith are, and shall remain, the property of Carousell. Furthermore, you acknowledge and agree that the source and object code of the Carousell Plus Services and the format, directories, queries, algorithms, structure and organization of the Services are the intellectual property and proprietary and confidential information of Carousell. You are not granted any intellectual property rights in and to the Carousell Plus Services not expressly granted in these Terms and such rights are hereby reserved and retained by Carousell.

Fees and Payment
Your Carousell Plus Subscriptions will continue and be renewed automatically on a monthly/yearly basis after the first month/year (as the case may be) until you expressly instruct us that you wish to terminate your relevant Carousell Plus Subscriptions at any time through the “Carousell Plus” section, under the “Manage” sub-section, of your Account, but before the expiration of the applicable then current subscription period. The termination will take effect in the following cycle of your Carousell Plus Subscriptions. Unless otherwise stated by Carousell, any renewal of your Carousell Plus Subscriptions will be on the then prevailing subscription terms thereof.
You acknowledge and agree that in the event of a subscription or recurring payment, you shall ensure that all payments are made and cleared by your bank before each monthly and/or annual recurring payment is due. For payments by credit card, your credit card account must be in good standing and remain valid for the monthly/annual charge(s) to be debited successfully. In the event of an unsuccessful payment, your Carousell Plus Subscriptions will automatically be suspended and/or terminated if payments are not received within five (5) days from the due date.

In the event that any fee for any Carousell Plus Service and/or Carousell Plus Subscriptions is stated erroneously on the Platform or otherwise, you acknowledge and agree that Carousell:
shall be entitled to rectify such error by giving you notice of the error and of the corrected fee, and upon receipt of such notice you shall pay such corrected fee to Carousell in the manner as set out in the foregoing notice; and
is not obliged to provide the Carousell Plus Service and/or Carousell Plus Subscriptions to you at the erroneous fee, although Carousell may at its sole discretion and on a case-by-case basis elect to do so.
Subject to Clause 5.3 above, all subscription fees and/or other fees and charges (“Carousell Fees”) paid by you to us with respect to your Carousell Plus Subscriptions or otherwise for your access to and use of the Carousell Plus Services, are non-refundable. For the avoidance of doubt, there will be no refunds of any Carousell Fees in the event that: (i) your Carousell account (“Account”) is suspended or terminated due to a breach of these Terms; and/or (ii) any Content has been removed in accordance with the Carousell Terms of Service.
You shall make prompt payment of all Carousell Fees, in full before the due date stipulated by Carousell for such payment (where applicable) and in accordance with our payment instructions. In the event of late payment or non-payment of amounts due to Carousell, without prejudice to any other rights or remedies available to us, Carousell shall be entitled to terminate and/or suspend your Account, your Carousell Plus Subscriptions and/or your access to the Carousell Plus Services.
In the event your Account is suspended or terminated for any reason, all amounts due on your Account will immediately become due and payable. Carousell reserves the right to immediately charge any amounts you have not previously disputed to the billing method that you are using and shall be entitled to terminate your Account, without prejudice to any other rights or remedies available to us.
You are responsible for collecting and paying any taxes associated with using and making sales through the Carousell Plus Services. Depending on the tax legislation of your country of residence, goods and services tax or similar consumption tax might apply in addition to your fees.

By submitting credit card and/or other payment details to Carousell, you warrant that you are entitled to purchase the Carousell Plus Subscriptions using those payment details. In the case of unauthorised payments, Carousell reserves the right to suspend or terminate your access to the Carousell Plus Subscriptions and/or Carousell Plus Services. If Carousell does not receive payment authorisation or any authorisation is subsequently cancelled, Carousell may immediately terminate or suspend your access to the relevant Carousell Plus Subscriptions and/or Carousell Plus Services.

Service Levels
We will make commercially reasonable efforts to keep our Carousell Plus Services operational, except for planned downtime for (i) maintenance, upgrades and updates for which we will use commercially reasonable efforts to provide at least 24 hours prior notice; or (ii) for unplanned downtime caused by any circumstances beyond our control, including acts of God, acts of government, flood, fire, earthquake, civil unrest, acts of terror, strikes or other labor problems, failures in computers, hardware, telecommunications, internet service provider or hosting facilities, power shortages and denial of service attacks.
Carousell reserves the right to amend, suspend and/or terminate all or any part of any Carousell Plus Subscriptions, the types of features or services offered on, the subscription period and rates for such Carousell Plus Subscriptions. Carousell shall use commercially reasonable efforts to notify you of any such material changes where the mode of such notice shall be at Carousell’s discretion and may be via a notice or by updating these Terms.
In the event that Carousell amends, terminates or withdraws the operation of any Carousell Plus Services and/or Carousell Plus Subscriptions pre-maturely prior to the end of your applicable subscription term, Carousell shall at its discretion either refund any fees paid by you to Carousell, on a pro-rated basis for the remaining and unexpired portion of the term for such specific and relevant service and/or Carousell Plus Subscriptions or provide any equivalent or equal value alternative, which shall be deemed full satisfaction of the said service and obligation as originally contemplated. If any such termination / withdrawal materially reduces your rights, we will notify you of such material changes (by, for example, a text message, email to the contact details associated with your account; or on our Platforms). If you do not agree to such amendment, termination or withdrawal, you may terminate your use of our Carousell Plus Services or request us to terminate the provision of our Carousell Plus Services to you.

By continuing to use our Carousell Plus Services after any amendment, termination or withdrawal, pursuant to this clause 6, comes into effect, you are agreeing to accept such amendment, termination or withdrawal.

No warranty
You acknowledge and agree that the Carousell Plus Services are provided on an “as is” and “as available” basis, and that your use of or reliance upon the Carousell Plus Services and any content, products or services accessed or obtained thereby is at your sole risk and discretion.
Despite our efforts, our Carousell Plus Services or any functionality may from time to time encounter technical or other problems and may not continue uninterrupted. Carousell does not represent or warrant that: (a) the use of the Carousell Plus Services will be secure, timely, uninterrupted or error free or that they will be compatible or operate in combination with any other hardware, software, system or data; (b) the Carousell Plus Services will meet your requirements or expectations; (c) errors or defects in the Carousell Plus Services will be corrected; or (d) the Carousell Plus Services and Carousell’s servers are free of viruses or other harmful components.
The Carousell Plus Services may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications (including problems inherent to the computer or electronic device you use). Carousell is not responsible for any delays, delivery failures, damages, or losses resulting from such problems.
All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are hereby excluded and disclaimed to the fullest extent permitted under the law.
No advice or information, whether oral or written, obtained by you from Carousell or from the Services shall create any representation, warranty or guarantee. Furthermore, you acknowledge that Carousell has no obligation to support or maintain the Carousell Plus Services.

Your privacy is very important to us at Carousell and we have provided the Carousell Privacy Policy, which can be found here, to explain our privacy practices. Please review the Privacy Policy to understand how Carousell collects, uses and discloses information collected and received from you.

Miscellaneous
Carousell reserves the right to restrict, suspend or terminate your Carousell Plus Subscriptions if you breach any of these Terms, with or without notice and without further obligation or liability to you.
In the event of any dispute over any difference or inconsistency between these Terms and the Carousell Terms of Service, in relation to your Carousell Plus Subscriptions, these Terms will prevail.

The contracting entities are set out below:
Singapore. If you are accessing the Carousell Plus Services from Singapore s these Terms are between you and Carousell Pte Ltd.
You hereby agree that the laws of the Republic of Singapore shall govern these Terms and hereby submits to the non-exclusive jurisdiction of the courts of Singapore in relation to any disputes arising out of or in connection with these Terms or its subject matter.

Carousell Plus Special Trial
Carousell may also, in its discretion, extend special promotional trials to qualifying users who meet our pre-determined criteria from time to time. If you are a first time subscriber of Carousell Plus and have opted for our 2-months Carousell Plus special trial (the "2-months Carousell Plus Special Trial"), it entitles you to a discounted promotional subscription price to the Carousell Plus monthly subscription package (as set out here) for a period of two (2) months from the moment you activate such special trial by submitting your payment details and making the applicable payments (the “Special Trial Period”).By proceeding, you accept these Terms and the additional terms in this clause 10 and (i) consent to us using your payment details in accordance with our Privacy Policy.
If you decide that you do not want to continue your subscription of the Carousell Plus Services upon the lapse of the Special Trial Period, you have to Cancel your subscription (instructions for this can be found here) by the end of the Free Trial Period. This 2-months Carousell Plus Special Trial is only available to first time subscribers of Carousell Plus subscription packages (whether monthly or annually). For example, if you had previously subscribed for a Carousell Plus subscription package (whether monthly or annually) and have subsequently cancelled it and would like to purchase a new Carousell Plus subscription package (whether monthly or annually), you will no longer be eligible for the 2-months Carousell Plus Special Trial. Carousell reserves the right to restrict, suspend or terminate your access to any trial (including, without limitation, the 2-months Carousell Plus Special Trial) in the event of a breach of these Terms.
